1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Phantom ("we," "us," or "our"), governing your access to and use of our project management software as a service (SaaS) platform and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

3. Access to the Service
3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. If you are accessing the Service on behalf of a business entity, you represent that you have the authority to bind such entity to these Terms.

3.2 Registration and Account Security

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

4. Use of the Service
4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law or regulation
To transmit any material that is defamatory, obscene, invasive of another's privacy, or otherwise objectionable
To impersonate or attempt to impersonate Phantom, a Phantom employee, another user, or any other person or entity
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

4.2 Content

You retain all rights in, and are solely responsible for, the content you post to the Service. By posting content, you grant Phantom a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with providing the Service.

5. Intellectual Property Rights
The Service and its entire contents, features, and functionality are owned by Phantom and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms do not grant you any right, title, or interest in the Service or our trademarks, logos, or other proprietary information.

6. Payment Terms
6.1 Fees

You agree to pay all fees associated with your use of the Service. We reserve the right to change our fees upon reasonable notice.

6.2 Billing

We will bill you through an online billing account for use of the Service. You agree to provide us with accurate and complete billing information and to keep this information up to date.

7. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PHANTOM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL PHANTOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

10. Indemnification

You agree to defend, indemnify, and hold harmless Phantom and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Texas, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
